The agreement governing access to rakshamlabs.com and the purchase or use of Raksham Labs products and services.

1. Acceptance and acknowledgement
These Terms & Conditions ("Terms") govern access to and use of rakshamlabs.com (the "Site"), products, firmware, software, integrations, and services provided by Raksham Labs("Raksham Labs", "we", "our", "us").
By accessing the Site, creating an account, purchasing products, downloading firmware, or using related services, you agree to be bound by these Terms together with our Privacy Policy, Shipping Policy, Refund & Replacement Policy, Limited Warranty Policy, and other referenced policies.
Where the Site presents a tickbox, button, or other affirmative control confirming agreement to these Terms (for example at account creation, password reset, or checkout), activating that control records your acceptance of these Terms for the purpose of forming a binding agreement. Even where no affirmative acknowledgement is collected, accessing the Site or using Products signifies acceptance to the maximum extent permitted by applicable law.
If you do not agree, do not access or use the Site or Products.
2. Definitions
- "Site" means rakshamlabs.com and its subdomains, account dashboard, customer-facing online tools, and supporting infrastructure.
- "Products" means hardware, accessories, firmware, software, development kits, evaluation units, and related items sold or otherwise made available by Raksham Labs.
- "Services" means access to the Site, account features, customer support, integration assistance, firmware download channels, and related online services.
- "User", "you", or "your" means any person who accesses the Site, creates an account, purchases Products, or uses Services.
- "Consumer"has the meaning given under applicable consumer-protection law in the User's jurisdiction of residence (including the Indian Consumer Protection Act, 2019, the EU Consumer Rights Directive, the UK Consumer Rights Act 2015, and equivalent statutes).
3. Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements under applicable law including the Indian Contract Act, 1872. By placing an order, you confirm compliance with these requirements.
4. Accounts, electronic communications, and notices
You are responsible for maintaining the confidentiality of your account credentials and for activities occurring under your account. Notify us immediately at hello@rakshamlabs.com if unauthorised access or security compromise is suspected.
By creating an account or placing an order, you consent to receive electronic communications relating to:
- transactions and invoices;
- shipment updates;
- compliance notices;
- firmware notifications;
- security alerts;
- operational announcements;
- customer-support communications.
Notices to you may be delivered to the email address associated with your account, by in-account banner, by SMS (where supported by your processor and applicable telecom rules), or by publication on the Site. Notices to us must be sent to hello@rakshamlabs.com.
We reserve the right to suspend, restrict, terminate, or investigate accounts associated with fraud, sanctions violations, export-control concerns, abuse, operational-security risks, or violations of these Terms.
5. Products, firmware, and Site availability
Raksham Labs designs and sells high-reliability drone subsystems, embedded electronics, communication systems, GNSS-related hardware, firmware-enabled products, and related accessories.
Specifications, photographs, renders, telemetry figures, environmental ratings, firmware descriptions, integration examples, and compatibility information are illustrative and may change as manufacturing revisions, engineering improvements, supply chains, firmware updates, or sourcing conditions evolve. Equivalent components, alternative sourcing, manufacturing revisions, or engineering substitutions may be used where operationally necessary.
Certain firmware, software, APIs, integrations, experimental features, development kits, evaluation units, or beta releases may contain errors, instability, incomplete functionality, or changing behaviour. Firmware updates may modify compatibility, calibration characteristics, telemetry behaviour, integrations, functionality, or performance.
Products, firmware, APIs, support status, integrations, and operational features may evolve, be restricted, or be discontinued without obligation to maintain backward compatibility or long-term availability. We may correct technical, pricing, availability, compatibility, documentation, or specification errors at any time without notice. We do not guarantee continuous availability of any Product, firmware version, feature, support service, spare component, or integration.
The Site, account dashboard, firmware download channels, support portal, and related online services are provided on an "as-available" basis. We do not commit to any specific uptime, response time, or service level for the Site or its supporting infrastructure, except where governed by a separate written service-level agreement.
Certain components may include open-source software governed by their respective licence terms.
6. Pricing, taxes, and currency
- Prices may be displayed in INR or USD depending on location or selected currency.
- Final invoice currency is fixed when payment is captured.
- INR pricing includes applicable GST unless otherwise stated.
- USD pricing excludes customs duty, VAT/GST, telecom approvals, import charges, brokerage fees, certification expenses, and destination-country taxes.
- Shipping fees are calculated during checkout based on carrier, dimensions, weight, destination, and shipment requirements.
- Prices, specifications, availability, support status, promotions, and product offerings may change without notice.
7. Orders, acceptance, and pricing errors
Orders constitute an offer to purchase.
A binding contract is formed only after:
- successful payment capture; and
- written order confirmation by Raksham Labs.
We reserve the right to refuse, restrict, delay, reverse, or cancel transactions where:
- fraud or abuse is suspected;
- sanctions or export restrictions apply;
- products become unavailable;
- pricing, currency, or specification errors occur;
- compliance verification fails;
- lawful shipment cannot be completed.
Where a Product, shipping fee, tax, or currency-conversion value is displayed at a price that is manifestly incorrect (for example, a typographical error, decimal-place error, missing digit, or system-conversion failure that no reasonable buyer would treat as the genuine price), Raksham Labs may cancel the order and refund the amount captured, even after payment confirmation. Such cancellation is not a breach of these Terms.
8. Payment and chargebacks
Payments are processed through Razorpay and related banking / payment infrastructure. By providing payment information, you authorise charging of the full payable amount associated with your order. You agree to Razorpay's own terms when you use their checkout.
Raksham Labs does not store complete payment-card numbers, CVV information, UPI PINs, or equivalent banking credentials.
Chargebacks, payment reversals, or disputes initiated without a good-faith dispute, or in breach of these Terms, or for orders that have already been delivered without a verified defect, may result in: account suspension or termination; cancellation of pending orders; recovery of the disputed amount and associated processing, chargeback, banking, and recovery fees; restriction of future purchases; and reporting to fraud-prevention networks where applicable. Nothing in this clause limits a User's statutory right to dispute an unauthorised or genuinely defective transaction with their card issuer or bank.
9. Shipping, customs, and delivery
Orders are dispatched from India.
Delivery estimates are indicative only and may vary due to:
- customs inspections;
- sanctions screening;
- carrier disruptions;
- export restrictions;
- force majeure events;
- operational delays;
- destination-country regulations.
Title and risk of loss pass to you upon delivery by the carrier to the address you provided.
For international orders, you are the importer of record and are solely responsible for customs clearance, aviation approvals, telecom approvals, import licensing, local certifications, VAT / GST, brokerage fees, and destination-country compliance obligations.
Customers are responsible for ensuring accuracy of shipping, consignee, import, export, and customs information. Customers should inspect shipments promptly upon delivery and report transit damage within applicable reporting windows.
10. Returns, replacements, and warranty
All sales are final. Where this Section applies, the sole and exclusive remedy is a replacement of the same SKU, not a refund, subject to non-waivable consumer rights described in § 18.
Returns are not accepted for:
- buyer's remorse;
- incompatibility;
- unsupported integrations;
- ordering mistakes;
- unsupported deployment environments.
Replacement eligibility is limited to:
- confirmed dead-on-arrival (DOA) cases reported within the published reporting window; or
- verified manufacturing defects within an applicable published warranty window.
Unless expressly stated otherwise on the relevant product page, Products are supplied without an additional commercial warranty beyond mandatory legal protections applicable under law. See the Limited Warranty Policy for what published warranties cover and exclude.
Unauthorised modification, reverse engineering, improper installation, unsupported firmware, unauthorised repair, misuse, or unsafe operation may void warranty or replacement eligibility. Detailed procedures and exclusions are governed by the Refund & Replacement Policy and Limited Warranty Policy.
11. Export controls, sanctions, anti-bribery, and lawful use
Products may qualify as dual-use electronic systems or controlled components subject to Indian export-control regulations (including the Foreign Trade (Development & Regulation) Act, 1992 and the SCOMET list maintained by DGFT) and destination-country law.
By purchasing or using Products, you confirm and warrant that:
- Products will not be supplied to sanctioned or prohibited parties;
- Products will not be resold, transferred, or re-exported to prohibited entities, sanctioned persons, or restricted jurisdictions;
- Products will not be used for unlawful surveillance, interception, prohibited cyber activity, privacy violations, or prohibited military end-use;
- Products will not be used in violation of aviation, telecom, export-control, cybersecurity, or privacy laws;
- Products will not be used in the design, development, or production of weapons of mass destruction or their delivery systems;
- all required approvals, licences, certifications, and permissions will be obtained.
End-Use Certificate. Raksham Labs may require an End-Use Certificate, end-user declaration, end-user statement, or supporting documentation as a condition of shipment, particularly for dual-use, export-controlled, or restricted destinations. Failure to provide requested documentation may result in cancellation of the order.
Anti-bribery and sanctions warranty.You warrant that you (a) are not a Sanctioned Person; (b) are not acting on behalf of a Sanctioned Person; and (c) will not engage in conduct that would violate the Indian Prevention of Corruption Act, 1988, the United States Foreign Corrupt Practices Act, the United Kingdom Bribery Act 2010, or equivalent anti-bribery, anti-corruption, and sanctions laws applicable in your jurisdiction. "Sanctioned Person" means any person or entity listed on the UN consolidated sanctions list, the specially designated nationals list maintained by the US Office of Foreign Assets Control, the UK sanctions list, the EU consolidated sanctions list, the Indian denial / sanctions lists, or any equivalent restricted-party list applicable to your transaction.
Flow-down obligation. Where you resell, distribute, transfer, integrate, or sub-supply Products as part of your own supply chain, you agree to pass these export-control, sanctions, anti-bribery, and lawful-use obligations down to your own customers, distributors, integrators, and end users on terms at least as protective as those set out in this Section.
Customers are solely responsible for lawful deployment and operational compliance. Products may not be used for unlawful surveillance, interception, tracking, or violation of applicable privacy laws.
12. Technical support and compatibility
Technical support, firmware guidance, compatibility recommendations, integration assistance, and operational suggestions are provided on a commercially reasonable best-effort basis unless governed by a separate written agreement.
Such guidance does not constitute engineering, aviation, telecom, cybersecurity, export-compliance, or legal advice. Compatibility with third-party systems, infrastructure, flight controllers, airframes, firmware environments, satellite systems, telecom networks, or integrations is not guaranteed unless expressly stated.
13. Acceptable use
Users may not:
- attempt to access, scrape, or interfere with the Site outside of its public interfaces;
- interfere with infrastructure, firmware, APIs, or operational systems;
- distribute malicious code;
- violate export restrictions or sanctions laws;
- misuse Products for unlawful surveillance or interception;
- compromise systems, firmware, APIs, or other users;
- misrepresent identity or use another person's account without permission;
- use services for prohibited or unlawful activity;
- use Site content, Product images, datasheets, documentation, firmware, source code, or other Raksham Labs content as input for machine-learning model training, data-mining services, generative-AI corpora, or large-scale aggregation services, without prior written permission, except where mandatory exceptions apply under applicable copyright law.
14. Intellectual property and firmware licence
The Site, firmware, designs, source code, schematics, branding, interfaces, documentation, and related intellectual property are owned by Raksham Labs or its licensors and are protected by intellectual-property laws.
Firmware licence
Subject to your continued compliance with these Terms, purchasing a Product grants you a limited, non-exclusive, revocable, non-sublicensable, and non-transferable (except as bundled with the underlying hardware on bona-fide resale of that specific unit) licence to use the firmware embedded in or made available for that Product, solely for its intended use with the underlying hardware, on a perpetual basis (unless terminated for breach) and worldwide subject to applicable export-control law.
You may not:
- separate the firmware from the hardware on which it is licensed;
- copy, redistribute, sublicence, resell, or commercially exploit the firmware independently of the hardware;
- reverse-engineer, decompile, or disassemble the firmware, except (and only to the minimum extent) where such activity is permitted by a non-waivable right under applicable law (including mandatory interoperability rights), and only after first requesting interoperability information from Raksham Labs in writing;
- create derivative works of the firmware or remove proprietary notices;
- use the firmware on hardware other than the Product unit for which it was licensed.
Where firmware includes open-source software components, the applicable open-source licence governs your rights to those specific components and, to the extent of any conflict with this Section, prevails.
15. Compliance, certification, and customer responsibility
Customers are solely responsible for determining whether Products require local certification, licensing, type approval, or regulatory approval (including CE, FCC, RED, WPC, or equivalent destination-country approvals) before import, deployment, transmission, or operation in any jurisdiction.
Customers are solely responsible for ensuring that their use of Products complies with applicable aviation, telecom, import, radio-frequency, customs, drone, surveillance, and data-protection regulations in their jurisdiction.
16. Spare parts and repair
Raksham Labs does not commit to providing spare parts, replacement boards, individual components, or repair services for any specific Product line. Where spare parts or repair services are offered, they are offered subject to availability, pricing, and operational discretion, and may be modified or discontinued at any time.
Where mandatory legal protections (for example, the EU Right to Repair regulations or other statutory repair / spare-parts rights applicable in the customer's jurisdiction) require specific obligations, those statutory rights remain in force and are not diminished by this Section.
17. B2B buyers and data processing
Where you purchase Products in the course of business (for example, as a distributor, OEM, system integrator, reseller, or enterprise buyer) and act as a data fiduciary, data controller, or equivalent under applicable data-protection law for your own end users, you remain solely responsible for:
- establishing a lawful basis for processing personal data;
- providing notice and obtaining consent where required;
- handling end-user data-subject requests, breach notifications, and regulatory obligations;
- passing through compatible data-protection terms to your own end users and any sub-processors you appoint.
Raksham Labs is not a data processor for, and does not assume data-fiduciary responsibility for, personal data processed by you in connection with your own products, services, or deployments unless a separate written data-processing agreement is in place.
18. Disclaimers and consumer-rights savings
Products and Services are provided on an "as-is" and "as-available" basis except where an express written warranty is specifically published. To the maximum extent permitted by law, we disclaim all other warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.
Unless expressly stated in writing:
- Products are not certified for military, aviation-critical, life-support, medical, nuclear, critical-infrastructure, or other safety-critical deployment;
- Products are not endorsed, approved, or certified by government authorities.
Performance figures, telemetry range estimates, integration stability, environmental tolerances, and operational characteristics may vary depending on deployment conditions. Customers are solely responsible for independently testing, validating, integrating, certifying, and verifying Products before operational deployment.
Consumer-rights savings
Nothing in these Terms limits or excludes any non-waivable statutory right of a Consumer in their jurisdiction of residence, including (without limitation) the rights of a consumer under the Indian Consumer Protection Act, 2019, the two-year legal guarantee for goods under EU Directive 2019/771, the rights of a "consumer" under the United Kingdom Consumer Rights Act 2015, the Australian Consumer Law, and equivalent mandatory consumer-protection laws applicable in your jurisdiction. Where a provision of these Terms would otherwise restrict any such non-waivable right, that provision shall be read down to the minimum extent necessary to remain valid and the remaining provisions shall continue in full force.
19. Limitation of liability
To the maximum extent permitted by applicable law, Raksham Labs' aggregate liability arising out of or relating to these Terms, any Product, or any Service shall not exceed the greater of:
- the amount paid by you for the specific Product or Service giving rise to the claim; or
- INR 10,000 (Indian rupees ten thousand).
Raksham Labs shall not be liable for:
- indirect, incidental, special, exemplary, or punitive damages;
- operational downtime;
- mission interruption;
- loss of profit or revenue;
- loss of airframe;
- business interruption;
- data loss or corruption;
- regulatory penalties;
- third-party claims;
- consequential damages,
even if advised of the possibility.
Nothing in this Section limits liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be excluded or limited under applicable law (including non-waivable Consumer rights described in § 18).
20. Indemnity
You agree to indemnify and hold harmless Raksham Labs and its affiliated persons / entities (including officers, employees, contractors, and partners) from claims arising from:
- misuse of Products;
- unlawful deployment;
- export, sanctions, or customs violations;
- privacy violations;
- regulatory non-compliance;
- breach of the flow-down obligations in § 11;
- violation of these Terms or applicable law.
21. Force majeure
Raksham Labs shall not be liable for delays or failures caused by events beyond reasonable control including:
- natural disasters;
- war or armed conflict;
- sanctions or trade restrictions;
- cyberattacks;
- customs restrictions;
- infrastructure or network failures;
- pandemics and public-health emergencies;
- labour disputes;
- carrier disruptions;
- power outages;
- governmental actions;
- supply-chain shortages.
22. Compliance review and suspension rights
Raksham Labs may require identity verification, export-compliance review, sanctions screening, consignee verification, or supporting documentation before processing transactions.
Failure to provide requested compliance information may result in delayed processing, restricted services, account suspension, or cancellation.
23. Regulatory and operational responsibility
Customers are solely responsible for:
- lawful integration and deployment;
- aviation compliance;
- telecom and radio-frequency compliance;
- import / export legality;
- obtaining operational approvals;
- maintaining safe operating environments;
- validating suitability for intended use.
Deployment and operation remain entirely at the customer's own risk.
24. Dispute resolution: arbitration, governing law, and jurisdiction
These Terms are governed by the laws of India. Disputes shall first be attempted to be resolved through good-faith negotiation.
Where unresolved, disputes shall be referred to arbitration seated in Prayagraj, Uttar Pradesh, India, conducted in English by a sole arbitrator under the Arbitration and Conciliation Act, 1996 (as amended). The arbitral award shall be final and binding subject to applicable law.
Subject to applicable law and the arbitration provision above, the courts located in Prayagraj, Uttar Pradesh, India shall have exclusive jurisdiction over any remaining or non-arbitrable matters.
Consumer-forum savings
Nothing in this Section prevents a Consumer from approaching a District, State, or National Consumer Disputes Redressal Commission established under the Indian Consumer Protection Act, 2019, or from exercising any non-waivable right or remedy under the consumer-protection law of the Consumer's jurisdiction of residence. Consumers retain all non-waivable rights and remedies under such laws regardless of the arbitration provision above.
25. No class action; no third-party beneficiaries
To the maximum extent permitted by applicable law, you and Raksham Labs agree to resolve disputes only on an individual basis and not as part of a class, consolidated, mass, or representative action. Nothing in this Section affects any non-waivable right of a Consumer under applicable consumer-protection law (including the Indian Consumer Protection Act, 2019).
No person who is not a party to these Terms shall have any right to enforce any provision of these Terms or of any Product purchase, except where expressly provided in writing or where such right is granted by mandatory law that cannot be excluded.
26. General provisions
Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision shall be read down to the minimum extent necessary to remain valid.
No waiver
Failure to enforce any provision of these Terms shall not constitute a waiver of rights. A waiver of any provision is effective only if made in writing and signed by Raksham Labs.
Assignment
Raksham Labs may assign or transfer these Terms (in whole or in part) as part of a restructuring, financing, merger, acquisition, or asset transfer. You may not assign these Terms or any rights under them without our prior written consent.
Survival
Sections relating to intellectual property, limitation of liability, indemnity, export compliance, sanctions and anti-bribery, flow-down obligations, dispute resolution, warranties, disclaimers, and operational restrictions shall survive termination of these Terms.
Independent relationship
Nothing in these Terms creates a partnership, agency, employment, franchise, or joint-venture relationship between you and Raksham Labs.
Entire agreement
These Terms, together with the Privacy Policy, Shipping Policy, Refund & Replacement Policy, Limited Warranty Policy, and other referenced policies, constitute the complete agreement between you and Raksham Labs relating to Products and Services, and supersede any prior agreements, understandings, or representations on the same subject matter.
27. Changes to these Terms
Raksham Labs may update these Terms periodically. Material changes will be notified to active account holders by email or in-account banner at least 14 daysbefore they take effect, except where an immediate change is required by law, security, sanctions / export-compliance obligations, fraud-prevention requirements, or operational necessity. The "Last updated" date at the top of these Terms reflects the most recent change.
Continued access to the Site or use of Products or Services after the effective date of a change constitutes acceptance of the revised Terms.
28. Language
If translated versions of these Terms conflict, the English-language version prevails.
